1. Acceptance of Terms
By accessing this website (https://janubhai.space) or commissioning services from Janu Bhai Consultancy (“we”, “us”, or “our”), having its principal office at B-80, Ground Floor, Street 8, Ghaffar Manzil, Jamia Nagar, Okhla, New Delhi, 110025, India, you (“Client”, “User”, or “You”) agree to be legally bound by these Terms and Conditions in accordance with the Indian Contract Act, 1872.
2. Scope of Consultancy Services
Janu Bhai Consultancy provides specialized business, creative, and technological services including custom web development, brand visual identities, software engineering, business automation, research, and public presence management.
All client engagements are governed by a mutually agreed Statement of Work (SOW), project scope document, or formal commercial invoice that details deliverables, timeline milestones, and fee structures.
3. Commercial Pricing and Payment Terms
- Currency and Invoicing: All project fees are quoted in Indian Rupees (INR) unless explicitly stated otherwise in written agreement. Invoices will include applicable Goods and Services Tax (GST) as per Indian tax regulations.
- Payment Methods: Payments are accepted via authorized RBI-approved Indian payment aggregators, UPI, NEFT, RTGS, IMPS, credit cards, or debit cards.
- Milestone Payments: Unless specified otherwise in an SOW, projects require an initial advance retainer before discovery and architectural design commences. Subsequent milestone payments are tied to verified deliverables.
- Overdue Accounts: Failure to settle milestone invoices within 14 business days may result in temporary suspension of active development or digital services until accounts are reconciled.
4. Intellectual Property Rights
Upon full settlement of all outstanding invoices, the client receives exclusive ownership of the custom visual assets, brand marks, and bespoke codebases created specifically for the project.
Janu Bhai Consultancy retains ownership of our pre-existing proprietary frameworks, reusable developer libraries, automation starter templates, and general design techniques utilized during production.
5. Client Responsibilities and Feedback
Timely delivery requires prompt cooperation. Clients agree to provide necessary brand assets, credentials, content, and milestone reviews within reasonable timeframes. Unreasonable delays in client feedback exceeding 30 calendar days may require re-scoping and adjustment of delivery schedules.
6. Limitation of Liability
To the maximum extent permitted under applicable Indian law, Janu Bhai Consultancy shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or business interruption arising from the use of our digital deliverables or third-party cloud infrastructure (such as hosting providers, third-party APIs, or domain registrars).
Our aggregate liability under any contract or agreement shall not exceed the total fees actually received by us for the specific project milestone giving rise to the claim.
7. Governing Law and Dispute Resolution
These Terms and Conditions shall be governed by, construed, and enforced in accordance with the laws of the Republic of India. In the event of any dispute arising out of or in connection with these terms, the parties agree to first seek amicable settlement through mutual discussion. If unresolved, the courts situated at New Delhi, India shall have exclusive territorial jurisdiction.
